GENERAL

TRANSFER OF TV ADVERTISING TIME

The TV advertising time cannot be transferred.

 

RESPONSIBILITY FOR AD CONTENT

The responsibility for ensuring that an advertisement is not illegal, including infringement of third-party rights, lies with the advertiser/client. This applies regardless of TV 2 Danmark A/S' acceptance of the advertisement for publication. The advertiser/client guarantees that the advertisement is legal, that necessary permissions have been obtained, and that all rights related to the agreed use of the advertisement are completely cleared. The advertiser/client shall indemnify TV 2 Danmark A/S and anyone involved in the publication of the advertisement against any loss suffered as a result of an illegal advertisement. TV 2 Danmark A/S has the right to reject advertisements at any time that it deems to violate applicable law. TV 2 Danmark A/S also has the right to reject advertisements that TV 2 Danmark A/S deems unsuitable for publication.

 

COMPLAINTS ABOUT LACK OF PUBLICATION, ETC.

In case of non-publication, publication of the wrong advertisement, incomplete publication, or other significant deficiencies attributable to TV 2 Danmark A/S, the client is entitled to a refund of the amount paid for the specific publication. If there are image or sound disruptions in parts of the broadcast area, a proportionate part of the paid amount will be refunded. Disruptions in less than 10 percent of the broadcast area do not entitle a refund. The client cannot assert any other claims against TV 2 Danmark A/S. Complaints must be made in writing no later than five days after the publication date. Complaints about an advertisement planned for reinsertion/rebroadcast within the five-day period must be made immediately.

 

HALTING OF ADVERTISEMENTS

TV 2 DENMARK A/S has the right to reject, limit, or stop the publication of an advertisement, for example, in cases of:

 

  • Intervention by public authorities or justified objections to the continuation of marketing.
  • The advertisement not being received on time or not complying with technical specifications.
  • The client not paying on time. If the campaign is stopped due to non-payment, the full amount will be invoiced.

 

Rejection, limitation, or halting of an advertisement does not release the advertiser/client from the obligation to pay. TV 2 Danmark A/S is not responsible for any losses suffered by the advertiser/client as a result of the rejection, limitation, or halting of the advertisement.

 

REJECTION OF COMPETITORS' ADVERTISEMENTS

TV 2 Danmark A/S rejects competitors' advertisements that are deemed to have a significant negative impact on TV 2 Danmark A/S in terms of user loss and/or revenue loss. The decision to reject will depend on a concrete assessment of:

 

  • The significance of the competitive relationship
  • The specific design and content of the advertisement

 

FORCE MAJEURE

Neither party shall be responsible for the non-fulfillment of its obligations under this agreement if the non-fulfillment is due to force majeure, i.e., war, earthquakes, riots, nuclear damage, or similar, and if the party could not have taken the hindrance into account at the time of signing the agreement or should have avoided or overcome it later.

 

DISCLOSURE OF TV ADVERTISEMENTS

After the first broadcast of a TV advertisement, TV 2 Danmark A/S has the right to make the advertisement available to third parties.

 

GENERAL LIABILITY LIMITATION

TV 2 Danmark A/S' liability to the client can never exceed the price of the publication of the advertisement.

 

JURISDICTION

Any dispute between the client and TV 2 Danmark A/S arising from the parties' agreement is settled by the District Court of Copenhagen.

 

FREE LEGAL COUNSELLING

TV 2 Danmark A/S is obligated to ensure that all advertisements shown on TV 2's channels comply with applicable law. To avoid any situation where an advertisement must be rejected, TV 2 Danmark A/S offers to assess the legality of the advertisement already at the draft stage. However, the responsibility for the legality of the advertisement lies with the advertiser/client, regardless of TV 2 Danmark A/S' assessment. INDEMNIFICATION AND COMMISSIONS

Indemnifications are calculated based on the price of the campaign after deducting the order-related discounts and advertiser discounts and are subtracted from the campaign's invoicing.

 

PREPAID INDEMNIFICATION, LINEAR AND ADDRESSABLE TV

Prepaying clients and agencies receive a 1 percent compensation for both linear TV campaigns and Addressable TV campaigns purchased through TV 2 Connect. The compensation is granted after timely payment on a separate credit note.

 

SECURITY INDEMNIFICATION, TV AND DIGITAL

A 1 percent security compensation can be obtained for all advertising campaigns on TV 2.

 

The security indemnification is given to clients who provide security for payment in the form of participation in the 'Kreativitet & Kommunikations' "Guarantee Scheme for Selected Danish Media," demand guarantee, or blocked account.

 

PROCUREMENT POLICY

TV 2 is aware of its responsibility to society and the importance of ensuring that TV 2's activities meet the expectations of society as one of the leading media companies in Denmark.

 

TV 2 subscribes to the principles of corporate social responsibility and pursues a range of initiatives and goals that support the company's social responsibility and environmental considerations.

 

TV 2's procurement policy outlines the expectations that TV 2 has for its suppliers and collaborators.

 

TV 2 expects its suppliers and collaborators to comply with all applicable laws and regulations and respect human rights conventions.

 

TV 2 expects its suppliers and collaborators to refrain from discriminating in the employment of employees regarding wages and other working conditions based on race, religion, nationality, ethnic origin, sexual orientation, gender, political opinions, age, or disability.

 

TV 2 expects its suppliers and collaborators to respect employees' freedom to form associations and the right to organize.

 

TV 2 expects its suppliers and collaborators to comply with current rules and regulations on occupational health and safety and prioritize that employees have a healthy and safe working environment.

 

TV 2 expects its suppliers and collaborators to comply with applicable laws and regulations in the environmental field, and that suppliers and collaborators focus on their energy consumption and environmental impact.

 

TV 2 expects its suppliers and collaborators to respect national legislation as well as the Council of Europe's Convention on Corruption and the OECD Convention on Combating Bribery of Foreign Public Officials.

 

TV 2's suppliers and collaborators are informed about the content of TV 2's procurement policy with an obligation to respond if they cannot adhere to these principles or do not adhere to them.

 

TV 2 expects its suppliers and collaborators to communicate the content of TV 2's procurement policy to their employees, and TV 2 expects its suppliers and collaborators to prioritize the principles concerning their suppliers and collaborators.

 

If a supplier or collaborator informs TV 2 that the principles are not fully followed, or if TV 2 otherwise becomes aware that this is the case, TV 2 initiates a dialogue with the relevant supplier or collaborator to understand what prevents compliance with the principles. If the non-compliance with the principles by TV 2 is considered gross, or if the supplier or collaborator shows a lack of interest in working towards compliance, TV 2 reserves the right to terminate the specific business relationship.

 

TV 2’S OTHER REQUIREMENTS FOR PROCUREMENT

Acquisition of programs, intellectual property rights, and rights to sports events is based on the program strategy outlined in the program plans. Larger and more fundamental content acquisitions are discussed at the management level and otherwise, follow the procedures described in the authorization and attestation policy outlined in TV 2's internal control and risk management systems.

 

As part of the decision to purchase larger program packages or rights to economically significant and/or extensive sports events, consideration is given to whether the content should be acquired in collaboration with others. This is especially relevant when the rights are offered for a geographical area extending beyond Denmark.

 

The procurement of technology and technical facilities takes place within the framework of TV 2 Teknik's budget and the capital investment budget. Before the start of a capital investment, it must be submitted with a business case for approval by the investment group. The procurement of technology and technical facilities otherwise follows the procedures described under "capital investments" and the authorization and attestation policy outlined in TV 2's internal control and risk management systems.

 

COMPETITION SUSPENSION

As a publicly owned company, TV 2 must follow EU procurement rules and the rules of the Public Procurement Act regarding the publication of purchases to the extent that the purchases exceed the threshold values and are not otherwise exempt from the regulations.

 

TV 2 advertises EU tenders in the EU Official Journal. Advertising for tenders in accordance with the Public Procurement Act takes place on udbud.dk.

 

TV 2's agreements on the purchase, development, production, and co-production of program material intended for broadcast are exempt from the rules on public procurement.

 

However, TV 2 chooses from time to time to competitively tender the production via tenders, either as tenders for program ideas (pitching) or by putting larger purchases of program content, such as morning TV or family advent calendars, out to tender to a limited group of program producers.

 

BUDGET AND ACCOUNTING DISCLOSURE

For newly produced programs, the program producers must, as a starting point, prepare a detailed budget of production costs. The budget is critically reviewed before approval. Savings on external budget items cannot be used to cover overruns on internal budget items without agreement with TV 2 unless there are minor deviations. Overruns on the total production budget are the responsibility of the producers, provided there are no new requests from TV 2 that were not included in the budget. Savings on the total production budget are shared equally between the program producer and TV 2. An audited account for the production must be submitted no later than 3 months after the delivery of broadcast-ready material. For subsequent seasons, this can be replaced by an internal account if TV 2 finds it sufficient.

 

RIGHTS ACQUISITION

For each rights and program purchase, TV 2 ensures that it acquires the most possible rights, both concerning TV 2's use on its platforms and in the form of economic rights when the rights are used by others.

 

TV 2'S OWN USE

For turnkey productions where TV 2 wholly or predominantly covers production costs, the starting point is that TV 2 acquires exclusive rights to broadcast a Danish-language version of the production on TV and make it available on demand without time restrictions. TV 2 generally requires that the rights of participants be bought out for use on TV 2's platforms, except for fees to Koda and Gramex. However, TV 2 accepts that actors, singers, musicians, playwrights, and directors receive repeat fees and payment for use on TV 2 Play. Fiction producers receive royalties when productions are used on TV2 Play beyond the catch-up periods, and format rights holders and owners of archive clips are not bought out.

 

For Danish and foreign license purchases, as well as for the right to broadcast sports events, TV 2's rights acquisition is typically time-limited and/or limited to several broadcasts.

 

As a general rule, TV 2 acquires exclusive TV rights to the program content within the license period. For Danish license purchases, TV 2 also seeks to acquire exclusive video-on-demand rights during the same period as TV rights, but this is not always possible. In particular, standard agreements governing the TV stations' use of the feature films and short and documentary films that TV 2 is obligated to engage with according to the public service permit contain a limited rights acquisition concerning on-demand use.

 

For foreign license purchases, efforts are made to acquire catch-up rights for programs, and for on-demand rights in general, a careful prioritization of needs and scope is made before seeking to acquire these rights. For rights to sports events, TV 2 also acquires exclusive transmission rights for both TV and on-demand, but these rights are often time-limited. However, TV 2 seeks to acquire non-exclusive clip rights indefinitely.

 

OTHERS' USE

For turnkey purchases that TV 2 wholly or predominantly finances, the starting point is that TV 2 obtains a share of the revenues when the productions or rights associated with them are used by others unless the programs are based on a fully developed format.

 

However, it is rare for TV 2 to acquire economic rights for license purchases.
